Terms & Conditions

Scope of Work

All consulting engagements will be governed by a mutually agreed-upon Statement of Work (SOW). The SOW will be signed by both parties before work begins and will define the specific services, deliverables, timelines, responsibilities, fees, and other project requirements.

Fees & Payment

Fees and payment terms will be outlined in the applicable SOW. Additional work outside the agreed scope may require a change order or written approval and may result in additional fees.

Client Responsibilities

Clients are responsible for providing timely access to necessary systems, information, content, approvals, and resources required to complete the engagement. Delays in receiving these items may impact project timelines.

Confidentiality

We treat client information as confidential. We will not share or use confidential business information, customer data, strategic plans, product roadmaps, or other proprietary information except as necessary to provide our services, as authorized by the client, or as required by law.

Intellectual Property

Ownership of project-specific deliverables and other intellectual property will be addressed in the applicable SOW. Unless otherwise agreed, clients retain ownership of materials and information they provide to us, while we retain ownership of our pre-existing tools, methodologies, frameworks, templates, and know-how.

Third-Party Services

Technology projects may depend on third-party platforms, software, APIs, hosting providers, and other services. We are not responsible for outages, changes, limitations, pricing, or other issues caused by third-party providers.

Results or Expected ROI

We will perform our services in a professional and workmanlike manner. However, technology projects can involve third-party dependencies and factors outside our control, and we do not guarantee specific business results, revenue, traffic, conversions, or other performance outcomes unless expressly agreed in writing.

Termination

Termination terms will be defined in the applicable SOW. Clients remain responsible for fees for services performed and approved expenses incurred through the effective date of termination.

Agreement

By engaging our services, the client agrees to these Terms & Conditions and the applicable SOW. If there is a conflict between these Terms and the SOW, the terms of the SOW will govern for that specific engagement.
